Patrini - DadConnect offers a social media platform ("Platform") that mainly allows individuals to constitute a fatherhood community to create connections, share own parental experiences and contents through articles, and ask for advice on the Platform accessible through a website under the domains [www.dadconnect-app.io] ("Website") and the application ("App").
Patrini – DadConnect licenses the use of the Platform through conclusion of an agreement ("Licensing Agreement ") via acceptance of this General Terms of Use while registering on the mobile application for the first time and grants the individuals accessing the Platform ("User" or "Users") a right to use the Platform under terms agreed in the Licensing Agreement.
The following General Terms of Use ("GTU") DadConnect Terms: Your Guide to Community Guidelines, shall apply between the Users and Patrini - DadConnect, c/o startup space AG, Wiesenstrasse 10A, 8952 Schlieren (Switzerland) ("DadConnect") (together the "Parties").
These GTU apply to all services offered to the Users by means of the Licensing Agreement. The primary obligation of DadConnect is to make the Platform available for access and use.
DadConnect reserves the right to develop and, at its own discretion and considering the interests of the Users, to modify or permanently or temporarily discontinue the Platform at any time, provided that this does not impair the essential contractual obligations of DadConnect under the contractual relationship and that this is reasonable for the Users.
DadConnect will make its best to ensure that the Platform is available as uninterrupted as possible. However, restrictions or interruptions may occur due to technical failures (e.g., power supply interruptions, hardware and Platform errors, technical problems in data lines) or for maintenance and Platform update purposes.
These GTU shall apply exclusively without affecting the applicability of the Community Guidelines.
To the extent permitted by law, DadConnect expressly reserves the right to change, and amend the GTU and the fees at any time. The Users will be appropriately informed of significant changes and must approve the amended GTU to continue accessing the Platform.
DadConnect grants the Users access to the Platform through online registration with a personal account.
The User itself shall be responsible for maintaining the confidentiality of the username and password ("Login Credentials"). The login credentials used to access the Platform must be kept strictly confidential so that they cannot be read or accessed by unauthorized persons or third parties.
DadConnect shall not be liable for any damages resulting from any abuse of login credentials. Anyone who legitimizes themselves with login credentials is considered as authorized to access and use the Platform without further verification by DadConnect.
DadConnect grants the Users the non-exclusive, non-transferable, non-sublicensable right to use the Platform for the duration of the Licensing Agreement. DadConnect reserves the right to deny registration to any potential Users.
The User's right of use is conditional upon timely payment of the agreed Platform fees, to the extent in which fees are due (see section 6).
The Users will use the Platform only within the scope of the authorizations and as instructed by DadConnect.
In the context of its use, the User is prohibited from:
using the Platform to grant benefits to a third party, to sell, transfer, lease, or otherwise make it accessible to third parties, or to have it operated by third parties;
copying, modifying, decompiling or using the Platform to develop independent programs;
using the Platform in a manner contrary to the provisions of these GTU, the DadConnect's instructions or the Licensing Agreement;
using the Platform in a manner that violates applicable laws and regulations (i.e., applicable law, case law or official orders);
transmitting malicious programs (viruses, worms, Trojan horses, spyware or other computer codes, files or programs, etc.) that may disable, overload, hack or otherwise interfere with or damage the operation of the Platform or any applications, services associated therewith.
The data and content uploaded or entered by the Users are so-called third-party content for DadConnect (e.g., pictures, personal information, experiences), unless they are clearly marked by DadConnect as its own content. DadConnect does not check the completeness, accuracy or legality of third-party content and therefore assumes no responsibility or warranty whatsoever for the completeness, accuracy, legality or topicality of third-party content.
The User is responsible for third-party content that he or she has uploaded and must ensure that the content is uploaded and used in compliance with applicable laws and regulations. In particular, DadConnect may suspend or cause to be discontinued any data or content, such as texts, pictures, logos, etc., that violate applicable laws and regulations and that violate third-party intellectual property rights or other third-party rights. No third-party content containing representations of violence, pornographic, discriminatory, insulting, racist, defamatory or other illegal content or representations may be uploaded and/or made available on the Platform. It is further prohibited to upload third-party content that exclusively or partially depicts third-party company names, trademarks or other trademarks or other protected marks, unless the User has corresponding rights of use and/or exploitation.
The User grants DadConnect a non-exclusive right, unlimited in space and time, to use the data uploaded on the Platform. Unless expressly stipulated in these GTU, the User shall not be granted any rights of use to the intellectual property rights of DadConnect.
The intellectual property rights, industrial property rights and all other rights of DadConnect (i) to the Platform (specifically the website and the application), the technologies and the databases, and (ii) to all processing, changes and further developments, including in the form of continuous modifications, shall remain with DadConnect. This also applies if these are processed or translated by the User or a third party. The User is strictly prohibited from removing any copyright notice.
DadConnect grants the User a non-exclusive, non-transferable, non-sublicensable right to use the Platform during the term of the Licensing Agreement. All related intellectual property rights remain the property of DadConnect (or the Licensor). The granting of the right to use the Platform for the benefit of the User does not result in the transfer any property rights to the User.
The User shall inform DadConnect without undue delay, if the User becomes aware of any infringement or threatened infringement of any of DadConnect's intellectual property rights.
DadConnect is understood to be a technical Platform service provider in order to allow the Users to use the Platform in accordance with the Licensing Agreement.
DadConnect is under no obligation to ensure the functionality of the Platform, or to guarantee the existence or continuation of the Platform. DadConnect has the right to close the Platform at any time without having to indemnify the Users.
DadConnect is under no obligation to proactively monitor the information and content uploaded, published or transmitted via the Platform or to verify their correctness, completeness, timeliness or legality.
DadConnect is the owner of the Platform and is entitled to use it or parts thereof in other projects or contractual relationships.
Unless otherwise mutually agreed between the Parties or in the Licensing Agreement, the use of the Platform by the Users is, in principle, free of charge. DadConnect reserves the right to introduce fees at any time, e.g., for premium features.
Any fees agreed shall, in principle, be paid once in advance through bank transfer or any other payment instruments.
These GTU shall commence upon acceptance by the User when creating a personal account on the Platform and shall be of unlimited term.
This use of the Platform may be terminated by either Party at any time.
The foregoing shall be without prejudice to the right of termination for cause. Good cause entitling DadConnect to suspend or terminate the User's use of the Platform shall be deemed to exist, in particular, if the User culpably breaches the material provisions of these GTU, the instructions of DadConnect, the Licensing Agreement and/or the Community Guidelines.
The Parties shall comply with applicable data protection law, in particular the Swiss Federal Act on Data Protection ("FADP") and the EU General Data Protection Regulation ("GDPR").
Details on how DadConnect processes personal data can be found in the Privacy Policy (Privacy Policy: Our Commitment to Your Data Security) as amended from time to time.
Except for damages caused by intentional or grossly negligent misconduct of DadConnect or its agents, any liability of DadConnect under any legal theory is excluded to the fullest extent permitted by law.
The User shall indemnify and hold DadConnect harmless on first demand, and without prejudice to other rights of DadConnect, from and against any claims for payment made by third parties against DadConnect for breach of law, third-party rights or breach of contract attributable to the User.
We strongly condemn and do not allow content that sexually exploits or abuses children or content that promotes the sexual exploitation or abuse of children. This includes all child sexual abuse materials and imagery (even cartoon images) and all content that presents children in a sexual manner.
Furthermore, we do not allow content that endangers children, including – but not limited to – 'child grooming' (for example, befriending a child online to facilitate, either online or offline, sexual contact and/or exchanging sexual imagery with that child), 'Sextortion’ (for example, threatening or blackmailing a child by using real or alleged access to a child’s intimate images), 'Sexualization of a minor (for example, content that depicts, encourages or promotes the sexual abuse or exploitation of children) and trafficking of a child (for example, advertising or solicitation of a child for commercial sexual exploitation).
We remove such content and take appropriate action, which may include disabling accounts and reporting to the National Center for Missing & Exploited Children as well as any appropriate authority. If you believe a child is in danger of or has been subject to abuse, exploitation, or trafficking, contact the police immediately.

Nothing in these GTU is intended to or shall be interpreted to create a simple partnership (einfache Gesellschaft) pursuant to art. 530 et seq. of the Swiss Code of Obligations between the Parties.
In the event that one or more provisions of these GTU shall, or shall be deemed to, be invalid or unenforceable, the validity and enforceability of the other provisions of these GTU shall not be affected thereby. In such case, the Parties agree to recognize and give effect to such valid and enforceable provision or provisions which correspond as closely as possible with the commercial intent of the Parties. The same shall apply in the event that these GTU contain any gaps.
The User shall not transfer or assign these GTU or any rights and duties thereunder to any third parties without the prior written consent of DadConnect.
The GTU as well as the services to be provided by DadConnect hereunder or other actions to be taken hereunder shall be governed exclusively by the laws of Switzerland, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict of laws rules.
The exclusive jurisdiction for all disputes arising directly or indirectly from these GTU or the performance of the services shall lie with the courts of the City of Zurich, Switzerland, venue being Zurich 1. DadConnect reserves the right to enforce its rights against the User at its general jurisdiction.
